1. Introduction and Agreement to Terms

Welcome to Dropper ("we," "our," "us"). These Terms and Conditions ("Terms") govern your access to and use of the Dropper platform, website, and services (collectively, the "Services").

By using our Services, you agree to these Terms. If you disagree, please do not use our Services.

Important Notice:

These Terms contain provisions that limit our liability and require dispute resolution through binding arbitration (see Section 12).

2. Definitions

  • "Account" means your registered user account on Dropper
  • "BYOS" means Bring Your Own Storage - our model where you connect your own cloud storage
  • "Content" means files, data, and materials you upload or store
  • "Services" means the Dropper platform, API, SDKs, and all related features
  • "Storage Provider" means third-party cloud storage (AWS S3, Azure, Google Cloud, etc.)
  • "Subscription" means your paid plan for accessing our Services

3. Eligibility Requirements

3.1 Age and Legal Capacity

You must be at least 18 years old and have legal capacity to enter into binding contracts. If using Services on behalf of an organization, you represent that you have authority to bind that organization.

3.2 Account Registration

When creating an Account, you agree to:

  • Provide accurate and complete information
  • Maintain the security of your password
  • Accept responsibility for all activities under your Account
  • Notify us immediately of unauthorized access

4. User Responsibilities and Acceptable Use

4.1 Prohibited Activities

You agree NOT to:

  • Violate any laws or third-party rights
  • Upload illegal, harmful, or malicious content
  • Infringe intellectual property rights
  • Attempt unauthorized access to our systems
  • Use automated systems (bots, scrapers) without permission
  • Reverse engineer our software
  • Resell or redistribute our Services

4.2 BYOS Responsibilities

You are responsible for:

  • Maintaining your cloud storage accounts
  • Ensuring proper permissions and credentials
  • Paying storage provider fees
  • Complying with storage provider terms
  • Backing up your data

5. Intellectual Property Rights

5.1 Our Intellectual Property

The Services, including software, designs, logos, and trademarks, are owned by Dropper and protected by intellectual property laws. The Dropper name and logo are our trademarks.

5.2 Your Content Ownership

You retain all ownership rights to your Content. We do not claim ownership of files you upload or store.

5.3 License You Grant Us

You grant us a limited license to:

  • Store and process file metadata (names, sizes, timestamps)
  • Display your Content back to you
  • Use aggregated, anonymized data for analytics

Note: Your actual file content is stored in YOUR cloud storage (BYOS model). We only store metadata.

6. Services and Pricing

6.1 Service Description

Dropper provides file management with BYOS integration, upload components, folder organization, API access, and team management.

6.2 Service Availability

We strive for reliability but do not guarantee uninterrupted, error-free service. We may modify or discontinue features with reasonable notice.

6.3 Pricing Changes

We reserve the right to change pricing with 30 days' notice. Current pricing is at dropper.dev/pricing.

7. Payment, Billing, and Refunds

7.1 Payment Processing

Payments are processed through Chargebee. By providing payment information, you authorize us to charge your payment method and agree to Chargebee's terms.

7.2 Subscription Billing

  • Subscriptions auto-renew unless cancelled
  • Billed in advance (monthly or annually)
  • You're responsible for charges until cancellation is effective

7.3 Refund Policy

Subscription fees are non-refundable except:

  • 30-day money-back guarantee for first-time annual subscriptions
  • Pro-rated refunds at our discretion for service outages
  • No refunds for partial months or Terms violations

7.4 Cancellation

Cancel anytime through Account settings. Cancellation is effective at the end of your billing period. Data retained for 90 days after cancellation.

8. Third-Party Services

8.1 Integrations

We integrate with:

  • Cloud Storage: AWS S3, Azure, Google Cloud, Cloudflare R2
  • Payment: Chargebee
  • Analytics: Microsoft Clarity

8.2 Third-Party Terms

Your use of third-party services is subject to their terms. We are not responsible for third-party availability, fees, or data security.

8.3 BYOS Notice

Your files are stored in YOUR cloud storage. You maintain a direct relationship with your storage provider. We are not responsible for storage provider issues, costs, or data loss.

9. Limitation of Liability

IMPORTANT LEGAL NOTICE

Please read this section carefully as it limits our liability.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE ARE NOT LIABLE FOR:

  • INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES
  • LOSS OF PROFITS, REVENUE, DATA, OR USE
  • BUSINESS INTERRUPTION
  • COST OF SUBSTITUTE SERVICES

OUR TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF:

  • AMOUNT YOU PAID IN THE PAST 12 MONTHS, OR
  • $100 USD

10. Warranty Disclaimers

NO WARRANTIES

SERVICES PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, INCLUDING:

  • MERCHANTABILITY
  • FITNESS FOR A PARTICULAR PURPOSE
  • NON-INFRINGEMENT
  • ACCURACY OR RELIABILITY

YOU USE OUR SERVICES AT YOUR OWN RISK.

11. Indemnification

You agree to indemnify and hold harmless Dropper from any claims, damages, or expenses arising from:

  • Your violation of these Terms
  • Your violation of any laws or third-party rights
  • Your Content or use of Services
  • Unauthorized access to your Account

12. Governing Law and Dispute Resolution

12.1 Governing Law

These Terms are governed by the laws of India, without regard to conflict of law principles.

12.2 Arbitration Agreement

Any dispute arising from these Terms shall be resolved through binding arbitration, except for:

  • Claims for injunctive relief
  • Intellectual property disputes
  • Small claims court matters

12.3 Class Action Waiver

You agree to resolve disputes on an individual basis. You waive the right to participate in class actions or class-wide arbitration.

13. Account Termination

13.1 Termination by You

You may terminate your Account at any time by cancelling your subscription. Your data will be retained for 90 days.

13.2 Termination by Us

We may suspend or terminate your Account if you:

  • Violate these Terms
  • Fail to pay fees
  • Engage in fraudulent or illegal activity
  • Pose a security risk

13.3 Effect of Termination

Upon termination:

  • Your access to Services ends immediately
  • You remain liable for unpaid fees
  • We may delete your data after 90 days
  • Provisions that should survive termination remain in effect

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by:

  • Posting updated Terms with a new "Last Updated" date
  • Sending email notification
  • Displaying a notice on our platform

Continued use after changes constitutes acceptance. If you disagree with changes, you must stop using our Services.

15. General Provisions

15.1 Entire Agreement

These Terms constitute the entire agreement between you and Dropper regarding the Services.

15.2 Severability

If any provision is found unenforceable, the remaining provisions remain in effect.

15.3 No Waiver

Our failure to enforce any right does not waive that right.

15.4 Assignment

You may not assign these Terms without our consent. We may assign these Terms without restriction.

15.5 Force Majeure

We are not liable for delays or failures due to circumstances beyond our reasonable control.
